Terms of Service

Provided in good faith and covering the essentials for selling via Paddle. We recommend a lawyer review this for Türkiye and your customers' regions before you rely on it.

These Terms of Service ("Terms") govern your access to and use of the SciAgentKit software, website, and services (the "Service") operated by Istanbulmedchem ("SciAgentKit", "we", "us"), Istanbul Dijitalpark Teknokent, İstanbul, Türkiye. By creating an account, installing the software, or purchasing a subscription, you agree to these Terms.

1. The Service

SciAgentKit provides deterministic computational-chemistry and drug-discovery tools (molecule analysis, ADME/toxicity profiling, docking, molecular-dynamics setup, trajectory analysis, reporting) exposed to AI coding agents via the Model Context Protocol and a CLI. The Service is a workflow and tooling layer; it is not a medical device, not clinical advice, and not a substitute for expert scientific review.

2. Accounts and licenses

You must provide a valid email and are responsible for activity under your account and API key.
Paid plans are licensed, not sold. We grant you a non-exclusive, non-transferable license to use the Service for the subscription term and seat count you purchase.
Team plans are licensed per seat; you may not exceed your purchased seat count.
You may not resell, sublicense, reverse engineer, or circumvent license enforcement.

3. Payments and billing

Payments are processed by our reseller and Merchant of Record, Paddle (Paddle.com Market Ltd). Paddle handles the transaction, invoicing, and applicable taxes, and your purchase is also subject to Paddle's buyer terms. Subscriptions renew automatically each period until cancelled. Prices are shown at checkout; a free trial converts to a paid plan only if you choose to upgrade.

4. Trials

Free trials provide limited access (including a capped number of docking runs and no molecular dynamics) for a limited period. Trials require no payment and end automatically.

5. Expert-review add-on

If purchased, the expert-review add-on provides advisory, human evaluation of your run outputs. It is a professional-services add-on, provided "as advice"; it does not guarantee any experimental or regulatory outcome.

6. Acceptable use

You agree not to use the Service to violate law, infringe rights, or attempt to develop or produce hazardous, weaponizable, or otherwise prohibited substances. You are responsible for the legality of your research and inputs.

7. Scientific disclaimer

Docking scores are ranking heuristics, not binding affinities; predicted ADME/tox values and wet-lab recommendations are computational estimates and advisory templates requiring expert validation. We make no warranty that any prediction corresponds to experimental reality.

8. Intellectual property and your data

We retain all rights to the Service. You retain all rights to the molecules, structures, and data you provide and the outputs you generate. In hosted/online-activation mode, only license validation data is transmitted to us; scientific computation runs locally unless you explicitly use a hosted compute option.

9. Warranty disclaimer & limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, our aggregate liability is limited to the amount you paid in the 12 months preceding the claim. We are not liable for indirect or consequential damages.

10. Termination

We may suspend or terminate access for breach of these Terms. You may cancel at any time; see the Refund Policy.

11. Changes

We may update these Terms; material changes will be posted here with a new effective date.
